By accessing or engaging with services provided by CloudUp Codex LLP, you agree to comply with and be legally bound by these Service Terms. If you do not agree, you must refrain from using our services.
Our services may include software development, web & app solutions, cloud services, AI/ML development, consulting, training programs, and other technology-related solutions as agreed in a formal proposal or contract.
The detailed scope of work shall be defined in the proposal, quotation, or service agreement. Any modification, enhancement, or additional requirement must be mutually agreed upon in writing.
Fees, billing schedules, milestones, and applicable taxes will be outlined in the agreement. Failure to make payments within the agreed timeframe may result in suspension or termination of services.
Upon full payment, intellectual property developed specifically for the client shall be transferred as agreed. CloudUp Codex LLP retains the right to use general expertise, non-confidential knowledge, and reusable components.
Both parties agree to maintain strict confidentiality of proprietary or sensitive information shared during the engagement. Information will not be disclosed without prior written consent unless required by law.
Clients must provide timely access, resources, approvals, and necessary information required for project execution. Delays from the client side may impact delivery timelines.
CloudUp Codex LLP is committed to delivering high-quality services. Specific SLA metrics, including guaranteed uptime, response times, and support availability, will be exclusively governed by the individual Service Level Agreement signed per enterprise project. In the absence of a custom SLA, services are provided 'as-is' without strict guarantees.
Either party may terminate the agreement with written notice if there is a material breach of terms. Upon termination, clients must pay for all services rendered up to the termination date.
CloudUp Codex LLP shall not be liable for indirect, incidental, consequential, or special damages arising from the use of its services.
Clients agree to indemnify and hold CloudUp Codex LLP harmless from claims, liabilities, or damages resulting from misuse of delivered services or third-party content provided by the client.
In case of disputes, both parties agree to resolve matters amicably through negotiation. If unresolved, disputes shall be settled under the jurisdiction of Indian courts or arbitration as specified in the agreement.
CloudUp Codex LLP operates in compliance with applicable Indian laws, including regulations related to MSME, taxation, IT laws, and commercial business practices.
We reserve the right to update or modify these Service Terms at any time. Continued use of our services after updates constitutes acceptance of the revised terms.
